These terms are binded to you the moment you start accessing any service from the Elsoft.

Elsoft services may change from time to time based on ELSOFY policies, government decisions, impressions & suggestions from users and technical changes of the system. These terms are not intended to answer every question or address every problem that may arise from using the Elsoft’s services. The Elsoft has the right to change these Terms & Conditions at any time, and will take effect when the new or revised Terms & Conditions are attached to the Elsoft Website. The Elsoft will endeavor to announce the changes to you via email or notification on Website. Since it is quite possible that these Terms & Conditions will change from time to time, it is your obligation to ensure that you have read, understood, and agreed to the latest Terms & Conditions available on the Elsoft Website.

By registering to use the Elsoft service, you represent that you have read, understood and agreed to these Terms & Conditions, and are deemed to have the authority to act on behalf of anyone registered to use our services.

Elsoft Terms & Conditions

1.1 Agreement – ​​means these Terms & Conditions;

1.2 Access Fee – means the monthly fee (excluding tax) that you must pay according to the list of fees listed on the Elsoft Website (which the Elsoft may change from time to time with your knowledge);

1.3 Confidential Information – includes all information that is communicated between the parties to this Agreement, whether in writing, electronically, or verbally, including this Service, but does not include information that has become or will be made public, except for those that have been disclosed and disclosed without rights or by other parties, unauthorized users or others;

1.4 Data – means any data that you enter or enter under your authority to the Website;

1.5 Intellectual Property Rights – means patents, trademarks, service, copyrights, design rights, knowledge, or other intellectual or industrial property rights, whether registered or unregistered;

1.6 Services – means accounting, financial and operational management services provided (and may be changed or updated from time to time) through the Website or mobile applications;

1.7 Website – means the internet site in the domain www.elsoft.id, app.elsoft.id or other internet sites managed by the Elsoft;

1.8 Elsoft – means PT. WIRA LAHANA SUKSES registered in Indonesia with TDP number 30.06.1.62.09990;

1.9 Invited User – means any person, other than the Customer, who uses the Service from time to time with the permission of the Customer;
1.10 Customer – means a person, or on behalf of a person, organization or other entity, who registers to use the Service;
1.11 You – means customer, user or invited user.

Software Usage

Elsoft gives you the right to access and use the Elsoft Services through our Website with a usage role that has been defined for you, according to the type of service you choose. These rights are non-exclusive, non-transferable and limited by and conditional on this agreement. You acknowledge and agree, subject to any written agreement in force between Customer and Invited User, or other applicable law:
That it is the responsibility of the Customer to determine who has access as an Invited User and the types of roles and rights they have to access the types of data you have;
That the Customer’s responsibility for all uses of the Service by the Invited User;
That it is the responsibility of the Customer to control each Invited User’s level of access to the relevant organization and Services at any time, and may withdraw or change the Invited User’s access or access level at any time, for any reason in any case;
If there is a dispute between the Customer and the Invited User regarding access to any organization or Service, it is the Customer who must make the decision and regulate the access or level of access to the Data or Services that the Invited User will have, if any.

Availability of Our Services

3.1 Service
Our service has a guaranteed at least monthly 90% uptime.
If our service falls below 90% uptime, then our customer is entitled to file a report and get compensated.

Your obligations

4.1 Payment Obligations
An invoice for the Access Fee will be generated every month, starting one month from the date you started subscribing to the Elsoft Service. All invoices will contain the Access Fee for the Active Period of using the Service. Elsoft will continue to make invoices for you at the end of each Active Period until this agreement is terminated in accordance with the provisions of Article 9.
The Active Period will automatically start no later than 30 days after you make payment of the Access Fee for the first time.

All invoices from the Elsoft will be sent to you, or to the billing contact you have provided, by email. You must make payment for the entire amount stated on your bill before the due date for the bill, which must be paid 7 days from the time the invoice is sent by the Elsoft. You are responsible for payment of all taxes and duties added to the Access Fee. You are also required to keep proof of the transaction. If the service is interrupted before payment is made, we will activate the service after you have paid the Access Fee for an extension of the Active Period.

4.2 General Obligation
You must ensure that you only use the Services and the Website for your internal business purposes that are right and lawful, with the Terms and Conditions and notices announced by the Elsoft or the conditions listed on the Website. You may use the Services and the Website on behalf of other people or entities, or to provide services to them, but you must ensure that you are authorized to do so, and all parties who receive the Services through you fulfill and agree to all of the terms in this Agreement that apply to you;

4.3 Access Conditions
You must ensure that all usernames and passwords required to access the Elsoft Services are stored securely and confidentially. You must immediately notify the Elsoft of the use of your password from unauthorized parties, or other security breaches, and the Elsoft will reset your password, and you must take all other actions deemed necessary by the Elsoft to maintain or improve the security of the Elsoft’s computer systems and networks. , and your access to our Services.

As a condition of these Terms, when accessing and using the Elsoft Services, you must:
Not attempt to undermine the security or integrity of the Elsoft’s computer system or network, or if the Service is hosted by a third party, that third party’s computer system or network;

4.4. Usage Restriction
The use of the Elsoft Service may be limited to, but not limited to, the monthly transaction volume and the number of calls you are permitted to use by calling the Elsoft application programming interface. If any, such limitations will be defined and posted on the relevant Service.
4.5 Communication Terms
As a condition of these Terms, if you use any means of communication available through the Website (such as any forum or chat room), you agree to use such communication tools only for lawful purposes. You may not use these communication tools to post or distribute any material that is not related to the use of the Service, including (but not limited to): offering goods and services for sale, unsolicited or unsolicited commercial e-mail, files that may damage other people’s computer equipment or software, materials that may be offensive to other users of the Service or Website, or material that violates any law (including material protected by copyright or trade secrets that you do not have the right to use).

4.6 Indemnity Liability

The obligations of each party under these terms will last even after the termination of these Terms.

The provisions of the article do not apply to information that:

It has become public knowledge other than because of a violation of this provision;
Received from a third party who legally obtained it, and has no obligation to limit its disclosure;
Developed independently without access to Confidential Information.
5.1 Privacy
The Elsoft has and maintains a privacy policy that describes and establishes the parties’ obligations to respect personal information. You are advised to read our privacy policy at www.elsoft.id/privacy, and you will be deemed to have agreed to that policy when you agree to these terms.

Intellectual Property

Ownership and all Intellectual Property Rights obtained on the Service, Website, and any documentation related to the Service remain the property of the Elsoft .

Ownership and all Intellectual Property Rights contained in the Data remain your property. However, access to your Data is subject to payment of the Elsoft Access Fee when the bill is due. You give permission to the Elsoft to use, copy, send, store, and back up your information and Data with the intent and purpose of giving you access to and to be able to use the Elsoft Services, or for other purposes related to the provision of our services to You.

You are strongly advised to keep a copy of all the Data you enter into the Elsoft Service. Elsoft complies with policies and follows the best procedures to prevent data loss, including daily system routines for backing up data, but makes no guarantees that there will never be data loss. The Elsoft clearly excludes liability for any loss of Data for any reason.

Assurance and Acknowledgment

7.1 You warrant that, if you register to use the Services on behalf of another person, you have the authority to agree to these Terms on that person’s behalf, and agree that by registering to use the Elsoft Services, you are binding on the person you are on behalf of, or with intention to, to take action on their behalf to any obligations that you have agreed to in these Terms, without limiting your own obligations to their terms

7.2 You acknowledge that:

You are responsible for authorizing anyone you give access to information or Data, and you agree that the Elsoft.CO has no responsibility to provide all access to such information or Data without your permission, and may submit any request to obtain information to be served to you.
You exempt the Elsoft from any claim or loss related to: Elsoft’s refusal to provide anyone with access to your information or Data in accordance with these provisions; Provision of information or Data by the Elsoft to anyone based on your authorization.

7.2.4 Elsoft does not guarantee that use of the Service will be uninterrupted or error-free. Among other things, the operation and availability of systems used to access the Services, including public telephone services, computer networks and the internet, can be unpredictable and may from time to time interfere with or prevent access to the Services. Elsoft is in no way responsible for such interference, or preventing access to the use of the Service.

7.2.5 Elsoft is not your accountant, and use of the Service does not constitute acceptance of accounting advice. If you have an accounting question, please contact an accountant.

7.2.6 It is your responsibility to determine that our Services meet your business needs and can be used for their intended purpose.

7.2.7 You have a responsibility to comply with all applicable accounting, tax and other laws. It is your responsibility to check that the storage of and access to your Data through the Services and the Website complies with the laws that apply to you (including any laws that require you to keep records).

7.3 Elsoft gives no warranties for its Services. Without ignoring the provisions above, the Elsoft does not warrant that our Services will meet your needs, or that they will be suitable for your intended purposes. For the avoidance of doubt, all conditions or warranties to be construed are excluded to the maximum extent permitted by law, including (without limitation) warranties of merchantability, fitness for purpose, and non-infringement.

7.4 You warrant and represent that you are acquiring the right to access and use the Services for business purposes and that, to the maximum extent permitted by law, any statutory or statutory consumer warranties intended to protect non-business consumers in any jurisdiction do not apply to provision of the Services, Website, or these terms.


Liability Limitation

8.1 To the maximum extent permitted by law, the Elsoft excludes all liability and responsibility to you (or any other person) in contract, tort (including negligence), or otherwise, for any loss (including loss of information, data, profits and savings). ) or damage resulting, directly or indirectly, from any use of, or reliance on, the Service or the Website.

8.3 If you are dissatisfied with its Services, your sole and exclusive remedy is to terminate this provision in accordance with clause 9.

Termination of Contract

9.1 Trial Policy
When you first register to access the Service, you can evaluate the Service on the terms of a pre-defined trial period, without any obligation to continue using the Service. If you choose to continue using the Service after the trial period is over, you will be billed from the same day you enter your billing information. If you choose to stop using its Services, you can delete your organization.

9.2 Elsoft does not provide refunds for the remaining prepaid period on your Access Fee subscription.

9.3 These Terms will apply for the period covered by the Access Fee that has been or can be paid in clause 3 paragraph 1. At the end of each billing period, these Terms will automatically continue for the next period for the same period, provided you continue to pay the specified Access Fee when it is due, unless either party terminates these Terms by giving notice to the other party at least 30 days before the end of the relevant payment period.

9.4 Violation
9.4.1 if you violate any of these Terms (including, but not limited to, not paying any Access Fees) and do not resolve the violation issue within 14 days of receiving notification of the violation if the violation issue can be resolved
9.4.2 If you violate any of these Terms and that breach cannot be resolved (including, but not limited to) any breach of article 3 paragraph 4 or failure to pay the Access Fee that is past due more than 30 days;

9.4.3 If you or your business goes bankrupt, or are in the process of ending your organization’s existence, Elsoft may take any or all of the following actions:

Terminate this Agreement and your use of our Services and Website;
Suspend your access to the Elsoft’s Services and Website for an indefinite period;
Suspend access or terminate access to all Data or any Data;

9.4.2 If you violate any of these Terms and that breach cannot be resolved (including, but not limited to) any breach of article 3 paragraph 4 or failure to pay the Access Fee that is past due more than 30 days;

9.4.3 If you or your business goes bankrupt, or are in the process of ending your organization’s existence, Elsoft may take any or all of the following actions:

9.4.4 Termination of this provision does not reduce the rights and obligations of the parties that must be paid up to the date of termination. Upon termination of this Agreement you will continue to bear accrued fees and amounts due for payment before or after termination, and immediately stop using our Services and Website.

Other General Terms

10.1 These Terms and Conditions, together with the Elsoft’s Privacy Policy and the provisions of any notices or instructions provided to you under these Terms and Conditions supersede and delete all prior agreements, representations (both oral and written), and understandings, and constitute the entire agreement between you and Elsofts related to the Service and other matters discussed in these Terms.

10.2 If either party waives claims for any breach of these Terms, this will not release them from claims for other breaches.Disclaimers are ineffective unless made verbally

10.3 The parties shall not be liable for any delay or failure in performing their obligations under these Terms if the delay or failure is due to any cause beyond their control. This paragraph does not apply to any obligation to pay money.

10.4 You may not assign or transfer rights to another person without the written consent of the Elsoft

10.5 If there is a dispute between the two parties, it will try to be resolved by deliberation first to reach consensus. If in this way an agreement is not reached, then both parties agree to resolve the issue through a legal procedure by choosing the legal position of the Republic of Indonesia at the Central Jakarta District Court.

10.6 Any notice given under these Terms by one party to the other must be in writing by email and will be deemed to have been given at the time of transmission. Notifications to the Elsoft must be sent to support@elsoft.id or to another email address notified to you by the Elsoft. Notifications to you will be sent to the email address you provided when establishing your access to our Services.

10.7 Subscription is a recurring payment that is paid in advance to consume accounting application services provided by Elsoft. After the subscription has been purchased, you can cancel at any time without additional fees except those already paid for. Cancellation takes up to 31 days before it becomes effective.
